Terms of Service

Welcome to Criterix. These Terms of Service ("Terms") govern your access to and use of the Criterix web application, including any content, functionality, and services offered on or through criterix.ai (the "Service").

By accessing or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Criterix is an AI-powered career management and resume optimization platform that helps you:

• Build and maintain a comprehensive career profile
• Analyze job descriptions and identify fit with your experience
• Generate tailored resume edits using AI
• Edit your Google Docs resume directly through our integration
• Store and manage your career data locally with encrypted backup

The Service uses a local-first architecture where your data is stored on your device and optionally synchronized to your Google Drive in encrypted form.

To use Criterix, you must authenticate with a Google account. By signing in, you:

• Confirm that you are at least 16 years of age
• Agree to provide accurate and complete information
• Accept responsibility for all activities under your account
• Agree to keep your Google account credentials secure

We reserve the right to suspend or terminate accounts that violate these Terms.

Criterix uses a Bring Your Own Key model for AI functionality. You are responsible for:

• Obtaining your own Gemini API key from Google AI Studio
• Understanding and complying with Google's Gemini API Terms of Service
• Paying any costs associated with your Gemini API usage directly to Google
• Keeping your API key secure and not sharing it with others

Criterix encrypts and stores your API key locally on your device. We never have access to your API key or your API usage.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Create or distribute false, misleading, or fraudulent professional credentials
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems to access the Service without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest user data without authorization
• Use the Service to generate spam, phishing content, or malware

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Criterix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain full ownership of all content you create or upload to the Service, including your career profile, resume content, and any other personal data. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.

6.3 AI-Generated Content

Content generated by AI features (such as resume suggestions, fit analyses, and probe questions) is provided for your use. You are responsible for reviewing, editing, and ensuring the accuracy of any AI-generated content before using it in professional contexts.

The Service integrates with third-party services including:

• Google OAuth: For authentication (subject to Google's Terms of Service)
• Google Docs API: For in-place resume editing (subject to Google's Terms of Service)
• Google Drive API: For encrypted backup synchronization (subject to Google's Terms of Service)
• Google Gemini API: For AI features via your BYOK key (subject to Google's Gemini API Terms)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

AI Content Disclaimer: AI-generated suggestions are provided as starting points only. You are solely responsible for reviewing, editing, and verifying any AI-generated content before use. Criterix does not guarantee that AI suggestions will result in job interviews or offers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CRITERIX, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from unauthorized access to or use of your account
• Any damages resulting from AI-generated content or suggestions
• Any damages resulting from third-party services or content

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD if you have not made any payments.

You agree to defend, indemnify, and hold harmless Criterix and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you create, upload, or share using the Service
• Your use of AI-generated content in professional contexts

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• Your locally stored data remains on your device under your control
• You may export your data before clearing browser storage
• Encrypted backups in your Google Drive remain accessible to you

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Service or other means. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Criterix regarding the Service and supersede all prior agreements and understandings.
